enter into a Placement Agreement pursuant to which the Placement Agent will be retained to assist in the placement of Interests. The engagement by the Fund of the Placement Agent as contemplated hereby shall be as set forth in the Placement Agreement, specifying in further detail the rights and duties of the Placement Agent.
