e same becomes due and payable and such failure to pay is not cured within ten (10) business days after the Issuer has received written notice from the Holder of the Issuer's failure to pay; or (b) Breach of Covenants. The Issuer breaches its covenants and agreements set forth in Sections 4 and 5 of the Purchase Agreeme
