payment on this Note shall be applied first to accrued interest, and thereafter to the outstanding principal balance hereof. 6. Conversion. (a) Optional Conversion. If repayment or conversion pursuant to Section 6(b) of this Note shall not have occurred, the Holder may elect, at any time, by written notice deli
