n one or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. 6. Goveming Law. THIS AGREEMENT SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF NEW YORK (INCLUDING SECTIONS 5-1401 AND 5-1402 OF TH
