the terms and conditions of this Agreement and the other Debt Documents (as defined below); WHEREAS, Borrower and Lender entered into that certain Aircraft Dealer Floor Plan Financing & Security Agreement dated as of February 7, 2003 (the "Original Agreement") and that certain Advancing Term Note, dated as of Febru
