Prior to the Maturity Date the Issuer may, without penalty or premium, upon five Business Days' notice to the Lenders, prepay all or a portion of the Outstanding Senior Funding Amount and/or Outstanding Mezzanine Funding Amount in a minimum prepayment amount of the lesser of (X) $[•] and (y) the Outstanding Senior Funding Amount
