o owns (either individually or jointly with his/her spouse) not less than $5,000,000 in investments'; (ii) a natural person who is a knowledgeable employee2 with respect to the General Partner and the Fund, as such term is defined in Rule 3c-5 under the Company Act; (iii) a mist (a) that was not formed
