Transfer such Interest or such interest in a Member (and such Transfer) shall be null and void and of no effect. 12.2. Permitted Transfers. (a) Starwood Permitted Transfers. (i) Starwood may Transfer all (but not less than all) of its Interests in the Company at any time to any Starwood Permitted Transferee provided s
