Company in cash in the aggregate amount of $6,000,000 (the "Initial Starwood Contribution"). Upon execution of this Agreement, the contribution by Starwood of the Initial Stanwood Contribution, the consummation of the transactions contemplated under the BRG Parent Contribution Agreement and the distributions made on the date hereof under
