er shall not have the right to assign any of Buyer's rights or obligations under this Agreement/Contract/Offer without the prior written consent of SeUer, which consent shall not be unreasonably withheld. This Agreement/Contract/Offer shall be binding upon and shall inure to the benefit of the parties
