r shall use its best efforts to obtain the financing contemplated by (i) that certain letter, dated as of October 1, 2010, provided by Empire State Capital Advisors Group LLC, and (ii) that certain letter, dated October 6, 2010, true and complete copies of which have been provided to Seller (collectively, the "Financing
