be subject to the following exceptions: I Any loss or expense otherwise allocable to a Limited-Partner which exceeds the positive balance in such Limited-Partner's Capital Account shall instead be allocated first to all Partners who have positive balances in their Capital Accounts in proportion to their respective Partnership
