piration of the Due Diligence Period, Purchaser shall notify Seller in writing as to whether Purchaser elects to have Seller assign to Purchaser at Closing the Management Agreement and/or any Service Contracts, and at Closing, Seller shall assign to Purchaser (and Purchaser shall assume from Seller) all rights and obligations
