LS WHEREAS, the Partnership was formed by the Initial General Partner and the Initial Limited Partners pursuant to a limited partnership agreement (the "Initial LPA") and the filing of a Certificate of Limited Partnership of the Partnership with the Office of the Secretary of State of Delaware on July 14, 2016;
